Item 1.01 Entry into a Material Definitive Agreement.

On October 25, 2018, Allogene Therapeutics, Inc. (the “Company”) entered into a Lease Agreement (the “Lease”) with HCP, Inc., for the lease of approximately 14,943 square feet of office and laboratory space in South San Francisco, California, near the Company’s headquarters. The Lease has a term of ten years and four months commencing on November 1, 2018. Upon certain conditions, the Company has an option to extend the Lease for an additional seven years. The Company will be required to pay $37,734 per month for the first seven months, which reflects an abatement of the base rent on half of the rentable square feet, and $75,462 for the months eight through 12, or $5.05 per square foot. Thereafter the price per square foot will increase at a rate of approximately 3.5% per year.
