Item 2.02.    Results of Operations and Financial Condition.
On August 7, 2019, Core-Mark Holding Company, Inc. (the “Company”) issued a press release announcing its results of operations for the three and six months ended June 30, 2019. The text of the press release issued by the Company is furnished as Exhibit 99.1 to this report.
Item 8.01.    Other Events.
The Company’s August 7, 2019 press release also announced that its Board of Directors has approved a $0.11 cash dividend per share. The dividend is payable on September 13, 2019 to stockholders of record as of the close of business on August 22, 2019.
