Item 2.02. Results of Operations and Financial Condition.

On October 17, 2019, Exponent, Inc. issued a press release announcing its financial results for the third quarter ended September 27, 2019.  The press release is attached hereto as Exhibit 99.1 and incorporated by reference.

Item 7.01. Regulation FD Disclosure.

On October 17, 2019, Exponent, Inc. announced that its Board of Directors has declared a quarterly cash dividend of $0.16 per share to be paid on December 20, 2019 to all common stockholders of record as of December 6, 2019.  A copy of the press release announcing the dividend is attached hereto as Exhibit 99.2 and is incorporated herein by reference.
