Item 5.02.
Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
(b) Fred Festa, then non-executive Chairman of the Board of Directors (the "Board") of W. R. Grace & Co. ("Grace"), retired from the Board on November 7, 2019.
Christopher J. Steffen, formerly Lead Independent Director of Grace, was elected to succeed Mr. Festa as non-executive Chairman of the Board on November 7, 2019. With Mr. Festa’s retirement, the Board now has 10 directors. The Board did not make any changes to its committees in connection with Mr. Steffen's election as non-executive Chairman.
A copy of the press release issued by Grace on November 7, 2019, announcing Mr. Festa's retirement from the Board and Mr. Steffen's election as non-executive Chairman of the Board, is filed as Exhibit 99.1 to this Form 8-K and is incorporated by reference herein.
