Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 25, 2020, Wences Casares informed PayPal Holdings, Inc. (“PayPal” or the “Company”) that he will not stand for re-election to PayPal’s Board of Directors when his current term expires at PayPal’s 2020 Annual Meeting of Stockholders. Mr. Casares' decision was not a result of any disagreement with the Company.
